CYBERPOWER SMART PARTNER PROGRAM AGREEMENT

In consideration of the opportunities granted to the company identified below ("Participant") by Cyber Power Systems (USA) ("CyberPower") as a member of the CyberPower SMART Partner Program ("Program"), Participant and CyberPower hereby agree as follows:

  1. Participant has read, understands, and agrees to be bound by the terms and conditions of the CyberPower SMART Partner Program Agreement ("Agreement") as well as the terms and conditions of any amendments to the Agreement, Program policies and procedures, which may be implemented or modified by CyberPower and communicated in writing to Participant from time to time.
  2. Participant shall not disclose any CyberPower information labeled as confidential while participating in the Program and for a period of five (5) years thereafter.
  3. Participant shall complete any training program required by CyberPower, including a one (1) hour online training module within one hundred and twenty (120) days of entering the Program, and understands that failure to complete the training programs may affect Participant’s eligibility to advance within the Program.
  4. Participant understands that the term of this Agreement is one (1) year, which may be automatically renewed by CyberPower.
  5. Participant is eligible for Volume Incentive Rebate funding according to the Quarterly Rebate program schedule.
  6. CyberPower reserves the right to cancel this Agreement or the Program or modify price and co-op fund schedules at any time and for any reason upon prior written notification to Participant.
